DataItemize Terms of Service
Version: 2026-10-09 · Effective: 2026-10-09
DataItemize is an online inventory and business management service. It is provided by Data Doodles Tech Pvt. Ltd., trading as Data Doodles Tech, a private limited company registered in Nepal, of Baluwatar-03, Kathmandu, Nepal ("we", "us", "our").
These Terms of Service ("Terms") are a contract between us and the business that signs up for DataItemize ("Customer" or "you"). Please read them carefully. They include limits on our liability (section 16) and explain how disputes are resolved (section 18).
You accept these Terms by ticking the box when you create an account, or when you are asked to accept an updated version inside the app. If you accept on behalf of a business, you confirm that you are authorised to bind it. If you do not agree, do not use DataItemize.
1. Who DataItemize is for
1.1 Businesses only. DataItemize is designed for businesses to manage their own stock, purchasing, sales and related records. It is not offered to consumers for personal, family or household use. By using it you confirm that you are using it for the purposes of a trade, business or profession.
1.2 Age. Each person who uses DataItemize must be at least 18 years old.
1.3 Where we offer DataItemize. DataItemize is offered to businesses in Nepal and in other countries outside the European Economic Area, the United Kingdom and Switzerland. It is not offered to businesses established in those regions.
1.3 Other documents. These Terms incorporate:
- the Privacy Policy, which explains how we handle personal information about the people who use DataItemize;
- the Cookies and Local Storage Notice; and
- the Data Processing Addendum ("DPA"), which governs personal information inside your Customer Data that we process on your behalf.
If a signed order form or master services agreement exists between you and us, it takes priority over these Terms where they conflict.
2. Key terms
- Service means the DataItemize web application, its API and related support we provide.
- Company account means the workspace you create, including every business, branch and warehouse inside it.
- Authorised User means anyone you (or your account owner or administrators) invite or allow to use your Company account, and anyone who uses an API key created in it.
- Customer Data means the information you and your Authorised Users put into the Service — for example items, stock movements, purchase and sales documents, customer, supplier and employee records, files you upload, and settings.
3. Your account
3.1 Accurate information. Give us accurate sign-up details and keep them up to date.
3.2 Credentials and access. You are responsible for:
- keeping passwords and API keys confidential;
- choosing who to invite, which role each person has, and which businesses and warehouses they can see — the Service enforces the roles and permissions you configure, but configuring them appropriately is your job;
- everything done under your Company account, including through API keys and webhooks you set up; and
- signing out on shared devices. The web app keeps your sign-in session in your browser's local storage (see the Cookies and Local Storage Notice).
The Service does not currently offer multi-factor authentication.
3.3 Tell us about misuse. If you think someone has accessed your account without permission, change your password, sign out the affected sessions from your account settings, and email us at support@datadoodlestech.com.
4. Using the Service
4.1 Right to use. Subject to these Terms and your plan, we give you a limited, non-exclusive, non-transferable right for your Authorised Users to access and use the Service for your internal business purposes while your subscription or trial is active.
4.2 What you must not do. You must not, and must not let anyone else:
- try to access another customer's data, or probe, scan or test the Service's security without our written permission;
- overload or disrupt the Service, or get around rate limits, plan limits or access controls;
- copy, resell, sublicense or provide the Service to third parties as a service bureau, except as we agree in writing;
- reverse-engineer or decompile the Service, except to the extent the law allows despite this restriction;
- use the Service to build a competing product;
- upload malware, or content or data you have no right to use; or
- use the Service in breach of any law, including tax, consumer, privacy and export laws that apply to you.
4.3 Integrations you configure. If you create API keys or webhooks, or connect the Service to other tools, you choose where your data is sent. We send webhook events only to the addresses you enter and sign them so you can verify they came from us, but we are not responsible for the systems that receive them.
5. Your data
5.1 You own your Customer Data. As between you and us, you keep all rights in your Customer Data. We do not sell it and do not use it for advertising.
5.2 Permission to process it. You give us permission to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service, to prevent or deal with technical or security problems, and to comply with law. The DPA describes how we do this for personal information.
5.3 Your responsibilities. You are responsible for the accuracy and lawfulness of Customer Data and for having the right to put it into the Service. If Customer Data includes information about your own customers, suppliers, employees or other people, you are responsible for giving them any notices and getting any consents the law requires.
5.4 Information you should not upload. Do not put into the Service health information, biometric data, payment card numbers, bank or other financial account credentials, passwords for other services, or national identity document numbers or images. Business tax registration numbers (such as PAN or VAT numbers) entered in the fields provided for them are fine.
5.5 Records that cannot be edited. To keep stock and audit history trustworthy, the stock ledger (every stock movement) and the audit log (who changed what, and when) are append-only. Neither you nor we can edit or delete individual entries through the Service. Mistakes are corrected by recording a new entry, such as a stock adjustment with a reason.
5.6 Exporting your data. While your account has access, you can export your item catalogue and most reports (including stock ledger, valuation, sales, purchases, receivables, payables, tax and expense reports) as CSV or XLSX files from inside the app. The account owner and admins can also download a full export of the Company's business records as a ZIP of CSV files (Settings → Account & data), including while the account is read-only. If you need a copy of other Customer Data, email us and we will provide it in a commonly used format within a reasonable time.
5.7 Keep your own copies. We back up the database through our database provider (see the Privacy Policy), but backups exist so we can recover the Service, not as a records-keeping service for you. You should export and keep any records you are legally required to keep.
5.8 Our access to Customer Data. A small number of our staff have platform-administrator access, which can reach any Company account. We use it only to provide support you ask for, to operate and secure the Service, and to comply with law. Changes made with that access are recorded in your audit log.
5.9 Optional AI assistant. The Service includes an optional AI assistant (the "copilot"). It is available only if we have enabled it on the platform and your plan includes it, and it is not currently enabled. When it is enabled and you use it, your question and the read-only results it looks up for you (such as product names, SKUs, stock levels, prices and sales totals for the business you are working in) are sent to our AI provider listed in the Privacy Policy to produce an answer. The assistant cannot change your data. Its answers can be wrong; check them before relying on them.
6. Plans, limits and fees
6.1 Plans. Your plan sets which features and modules you can use and your limits (for example users, businesses, warehouses, items and file storage). The Service enforces these limits. We assign plans; there is currently no self-service checkout.
6.2 Fees, payment, taxes and refunds. Fees, if any, are as agreed in writing with us or shown in the app for your plan. Fees are exclusive of VAT and other taxes, which we will add where required. Invoices are due within 15 days. Fees are non-refundable except where these Terms or the law say otherwise; if you end your subscription because we materially breached these Terms or materially reduced the Service, we refund prepaid fees for the unused period.
6.3 Trials. If we give you a trial, it lasts for the period shown when it starts. When it ends without a paid plan, your Company account becomes read-only (see 6.4).
6.4 When a subscription ends. When a paid subscription expires, your account has a 7-day grace period with full access. After that, or when a trial ends or a subscription is cancelled, your account becomes read-only: you can still sign in, view and export your data, but you cannot make changes. Expiry does not delete your data.
7. Suspension
We may suspend your access, in whole or in part, if:
- you materially breach these Terms (including section 4.2) and, where the breach can be fixed, you do not fix it within 14 days after we tell you;
- fees are overdue, as described in section 6.2;
- we reasonably believe it is needed to protect the Service, other customers or anyone else from a security threat or serious harm; or
- the law or a competent authority requires it.
Where it is lawful and practical, we will tell you before we suspend and explain why. While your account is suspended, nobody in it can sign in to use it, but your data is not deleted. We will restore access once the reason for the suspension is resolved.
8. Ending these Terms
8.1 By you. You can stop using the Service at any time. The account owner can close the Company account in the app (Settings → Account & data) or by emailing support@datadoodlestech.com. Closing makes the account read-only at once; the owner can cancel the closure while the data is still kept. Section 8.4 explains what happens next.
8.2 By us. We may end these Terms by giving you at least 30 days notice, or immediately if you materially breach them and do not fix the breach after notice, or if the law requires it.
8.3 Fees on termination. Refunds on termination follow section 6.2.
8.4 What happens to your data. Ending a subscription or these Terms does not automatically delete Customer Data. Section 9 explains how deletion works. We keep your data in read-only form for 90 days after the end of these Terms so you can export it. After that, the data is permanently deleted within a further 30 days, after the account owner has been emailed at least 14 days beforehand.
8.5 Survival. Sections 5, 9, 12 to 18 and 20, and any unpaid fees, survive the end of these Terms.
9. Archiving and deleting data
9.1 Archiving is not deletion. When you delete or archive something in the app — an item, a customer or supplier, or a whole business — it is hidden from everyone in your account but kept in our database, so that past documents, the stock ledger and the audit log stay complete. Archived information may be recoverable on request.
9.2 Permanent deletion is done by us, on request. If the account owner asks us in writing to permanently delete Customer Data, we will do so within 30 days, except for information we must keep to comply with law or to establish or defend legal claims. This includes stock ledger and audit log entries, which only we can remove because they are protected against change inside the Service.
9.3 Backups. Deleted data can remain in our database provider's point-in-time backup history until that history ages out, which currently takes up to 7 days. We do not restore deleted data from backups except to recover the Service.
10. Security
We protect the Service with measures described in the Privacy Policy and the DPA. No online service is perfectly secure, and we cannot promise that unauthorised access will never happen. If we become aware of a security incident affecting your Customer Data, we will tell you as described in the DPA.
11. Availability and changes to the Service
11.1 We work to keep the Service available, but we do not promise it will be uninterrupted or error-free, and we do not offer a service-level agreement unless one is agreed in writing. We may take the Service down for maintenance.
11.2 We may change, add or remove features. If a change materially reduces the core functionality you are paying for, we will give you reasonable notice, and you may end your subscription before the change takes effect.
12. Our intellectual property and feedback
12.1 We and our licensors own the Service, including its software, design and documentation. These Terms do not transfer any ownership to you. Everything not expressly granted is reserved.
12.2 If you send us suggestions or feedback, we may use them freely, without obligation to you. Please do not send feedback you consider confidential.
13. Confidentiality
Each of us will keep the other's non-public business information that it receives under these Terms confidential, use it only to perform these Terms, and share it only with people who need it for that purpose and are bound by similar duties. This does not apply to information that is public through no fault of the recipient, already known to it, independently developed, or that must be disclosed by law (in which case the recipient will give notice where lawful). Customer Data is your confidential information.
14. Third-party services
The Service relies on third-party infrastructure providers, listed in the Privacy Policy. Services you choose to connect (for example, systems that receive your webhooks) are governed by their own terms, and we are not responsible for them.
15. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available". We do not give any warranty, express or implied, including of merchantability, fitness for a particular purpose or non-infringement. Reports, stock valuations, tax figures and AI answers are calculated from the data you enter and the settings you choose; you are responsible for checking them before relying on them for accounting, tax or regulatory purposes.
16. Limitation of liability
16.1 To the fullest extent the law allows, neither of us is liable to the other for lost profits, lost revenue, loss of goodwill, or indirect, incidental, special or consequential damages arising out of these Terms or the Service, even if told they were possible.
16.2 To the fullest extent the law allows, our total liability arising out of or relating to these Terms or the Service is limited to the greater of the fees you paid us for the Service in the 12 months before the event giving rise to the claim and NPR 10,000.
16.3 Nothing in these Terms limits liability that cannot be limited by law, including for fraud.
17. Your responsibility for claims
You will defend and compensate us (including reasonable legal costs) against third-party claims arising from Customer Data, from your or your Authorised Users' breach of section 4.2, or from your breach of law. We will tell you promptly about any such claim and let you control its defence, and you will not settle it in a way that imposes obligations on us without our written consent.
18. Governing law and disputes
18.1 These Terms are governed by the laws of Nepal.
18.2 Before starting formal proceedings, the party with a complaint will send a written notice describing it to the other party, and both of us will try in good faith to resolve it for at least 30 days.
18.3 If the dispute is not resolved, it will be decided by the competent courts of Kathmandu, Nepal. Either of us may still ask any competent court for urgent interim relief, for example to protect confidential information or intellectual property.
19. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days notice before they take effect, by email to the account owner or a notice in the app. When a new version takes effect, the app will ask each user to accept it before continuing. If you do not accept a material change, you may stop using the Service and close your account. The version date at the top shows which version applies.
20. General
- Notices. We may send notices by email to the account owner's address or by notice in the app. You may send notices to support@datadoodlestech.com or to our postal address above.
- Electronic communications. You agree that agreements, notices and other communications we send electronically satisfy any requirement that they be in writing.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them to a successor to our business on notice to you.
- Events outside our control. Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as outages at our infrastructure providers, power or network failures, natural disasters or government action (this does not excuse payment obligations).
- Severability and waiver. If part of these Terms is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
- Language. These Terms are written in English. If we provide a translation, the English version prevails to the extent permitted by law.
- Entire agreement. These Terms, together with the documents listed in section 1.3 and any signed order form or master services agreement, are the whole agreement between us about the Service.
